PRODUCER AGREEMENT — EXCLUSIVE RECORDING CONTRACT
THIS AGREEMENT is entered into as of the date last signed below
between MAJOR LABEL GROUP LLC ("Label") and the undersigned
Producer ("Artist"). Label hereby grants a worldwide, irrevocable,
perpetual license to all Master Recordings hereunder. Artist shall
receive 2% of net profits after recoupment. Label may assign this
agreement without Artist consent at any time. All rights reserved.
SECTION 4 — ROYALTIES: Net profits defined at Label's sole discretion.
